Confirm the entity name and state filing number. Certify that dissolution was properly authorized (by shareholders or members). Confirm that all debts and liabilities have been paid or adequately provided for, and remaining assets distributed. File final tax returns and cancel any business licenses. Some states require tax clearance before dissolution.
