Instructions

  • LLC Name: Must include "LLC" or "Limited Liability Company" and be distinguishable from existing entities in your state
  • Registered Agent: Provide the name and address of your registered agent (person who receives legal documents)
  • Principal Office: Enter the primary business address
  • Purpose: Most states allow a general purpose statement
  • Management: Choose member-managed (all owners manage) or manager-managed (designated managers)
  • Duration: Perpetual unless you specify an end date
  • Organizer: The person filing the articles signs as organizer

    • Filing Fees: Vary by state ($50–$500). Check your Secretary of State's website.

    Note: After filing, create an Operating Agreement, get an EIN, and open a business bank account.
