  • Assignee: The person or entity receiving the IP rights
  • IP Description: Describe the intellectual property being assigned in detail (registration numbers, titles, descriptions)
  • Consideration: Specify the payment or other consideration for the assignment
  • Scope: Define whether the assignment is worldwide, perpetual, and includes all derivative works
  • Warranties: Assignor warrants they own the IP and have the right to assign it
  • Recordation: Record the assignment with the relevant government office (USPTO for patents/trademarks, Copyright Office for copyrights)
  • Note: IP assignments must be in writing to be valid. Oral agreements to transfer IP are generally unenforceable.
